An NDA can be useful before a discovery call, proposal review, audit, prototype, or handoff where one side needs to share business information that should not be reused or disclosed. It should name the parties clearly, describe the purpose of the conversation, define confidential information, explain exclusions, set a reasonable term, and say how information should be handled when the discussion ends.
Do not use a generic NDA to cover every possible risk.
